Self-Hosted Software License

Rever Finance Inc.

This Self-Hosted Software License ("EULA") applies only where Customer operates the Rever software inside its own environment under a self-hosted deployment ("Self-host") purchased under an Order Form that references the Terms of Service ("Terms"). It supplements the Terms for that deployment. It does not apply to Managed cloud or Private cloud deployments, which are hosted subscriptions governed by the Terms and the Service Level Agreement.

Commercial terms, Authorized Users, fees, support, privacy and data protection, confidentiality, warranties, liability, term, termination and dispute resolution are governed by the Terms, the applicable Order Form, the Data Processing Agreement and the SLA. If this EULA conflicts with the Terms, the Terms govern, except that Sections 2 to 5 of this EULA apply only to Self-host and take precedence for that deployment. Capitalized terms not defined here have the meanings given in the Terms.

1. Scope

This EULA covers the software Rever delivers for installation by Customer, including container images, installers, license keys, updates and the related Documentation (the "Software"). Self-host is available on the Enterprise plan, as recorded in the Order Form.

2. License Grant

Subject to the Terms and payment of the applicable Fees, Rever grants Customer a limited, non-exclusive, non-transferable, non-sublicensable license during the Subscription Term to:

(a) install and run the Software, in object code form, on infrastructure owned or controlled by Customer, including a cloud account that Customer operates;

(b) use the Software for the legal entities, Connected Systems and agents recorded in the Order Form; and

(c) make a reasonable number of copies of the Software for backup, testing and disaster recovery, provided that every copy carries Rever's proprietary notices and remains subject to this EULA.

All rights not expressly granted are reserved by Rever and its licensors.

3. License Keys, Telemetry and Verification

(a) Rever will provide a license key that activates the Software. The key is tied to Customer's subscription and may not be shared, transferred or used outside the scope recorded in the Order Form.

(b) The Software may verify its entitlement and report limited operational telemetry to Rever: software version, license identifier, counts of entities and Connected Systems, and health signals. Telemetry does not include Customer Data. Customer may request the telemetry schema. Where the Order Form provides for an isolated environment without outbound connectivity, verification is performed by written attestation on the schedule stated in the Order Form.

(c) On Rever's written request, not more than once in any twelve-month period, Customer will certify in writing the number and location of its Self-host deployments. Rever may verify compliance on thirty (30) days' notice, during business hours, at Rever's expense unless the verification reveals use beyond the scope purchased by more than five percent (5%).

4. Customer Responsibilities

Customer is responsible for:

(a) provisioning, securing and maintaining the infrastructure, networks and third-party components on which the Software runs;

(b) backups, disaster recovery and the integrity of Customer Data stored in the Self-host environment;

(c) applying the updates and patches Rever provides, including security patches within thirty (30) days of release, and remaining on a supported release (the current release and the two immediately preceding minor releases);

(d) the credentials and permissions granted to the Software for each Connected System, and access controls for the environment; and

(e) operating the Software in accordance with the Documentation and the Acceptable Use Policy.

The operating safeguards in Section 5 of the Terms apply to Self-host: connections are read-only, financial actions execute only through permitted workflows after a recorded approval in the Software, and every payment hold requires approval before it is placed. Customer must not disable, circumvent or reconfigure the Software to remove those safeguards. Customer's ledger remains its system of record.

5. Restrictions

Except as expressly permitted by this EULA or by applicable law that cannot be excluded, Customer will not, and will not permit any third party to:

(a) reverse engineer, decompile, disassemble or otherwise attempt to derive the source code, models or algorithms of the Software;

(b) modify, adapt, translate or create derivative works of the Software;

(c) copy the Software other than as permitted in Section 2(c);

(d) sublicense, rent, lease, lend, resell or host the Software for the benefit of any third party, or operate it as a service bureau, except under a written partner agreement with Rever;

(e) remove, alter or obscure any proprietary notice, or circumvent license keys, entitlement checks or telemetry;

(f) use the Software to develop a product or service that competes with the Service;

(g) export or re-export the Software in violation of applicable export control or sanctions laws; or

(h) use the Software in violation of applicable Laws or the AUP.

6. Third-Party Components

The Software includes open-source and third-party components identified in the Documentation. Those components are licensed under their own terms, which govern to the extent they conflict with this EULA. Rever remains responsible for the Software as delivered.

7. Updates and Support

Rever provides updates, security patches and support for supported releases of the Software as described in Section 5 of the SLA. No availability commitment or service credits apply to Self-host, because the environment is operated by Customer. Customer's infrastructure, networking and third-party components are outside Rever's support.

8. Customer Data

Customer Data remains on Customer's infrastructure. Rever does not receive Customer Data from a Self-host deployment unless Customer shares diagnostics or grants support access under the Terms and the DPA. Rever's processing of any Personal Data received in that way is governed by the DPA. Telemetry under Section 3(b) is Usage Data under the Terms.

9. Term and Termination

This EULA runs for the Subscription Term of the Self-host deployment recorded in the Order Form and ends when that Subscription Term expires or is terminated under the Terms. On expiry or termination, Customer will stop using the Software, deactivate the license key, uninstall and destroy all copies within thirty (30) days, and certify destruction on request. Customer retains its own Customer Data on its own infrastructure, as described in the Data Export and Deletion Schedule in Section 9.5 of the Terms.

10. General

Governing law, dispute resolution, notices, assignment and the other general provisions of the Terms (Sections 15 and 16) apply to this EULA. Questions about this EULA: legal@rever.ai.
